“Cease and Desist Orders” and “Surcharge Payment Orders”
from Japan Fair Trade Commission

TOKYO, JAPAN - Yazaki Corporation received today “Cease and Desist Orders” and “Surcharge Payment Orders” from the Japan Fair Trade Commission (“JFTC”), as described below.

On February 24, 2010, the JFTC launched an investigation into activities of Yazaki Corporation and several other automotive parts manufacturers related to an alleged bid rigging cartel concerning automotive wire harnesses and related products. Yazaki has been faithfully cooperating with the JFTC’s investigation since its inception.

Yazaki Corporation takes this matter, as well as its ethical and legal obligations, very seriously. The company has intensified its efforts to reinforce global legal and ethical compliance in order to ensure that all members of the Yazaki group and its affiliates comply with all applicable laws, the highest standards of corporate ethics, and relevant social norms.

1. Outline of Cease and Desist Orders

Under the terms of the Cease and Desist Orders, the company shall (a) adopt a resolution at the Board of Directors confirming that the company has terminated the actions prohibited under Article 3 of the Anti-Monopoly Act (“AMA”); (b) take necessary actions to disseminate to its employees guidelines on activities with regard to compliance with the AMA; and (c) implement a regular training program and regular audits with regard to AMA compliance.

2. Outline of Surcharge Payment Orders

Amount of surcharge: JYN 9,607,130,000.-

3. Response to the Orders

The company will scrutinize the contents of the orders to decide the course of action to be taken.
